These Terms of Service ("Terms") govern your use of the PDFFormly website and services at https://pdfformly.com (the "Service"), operated by Codenova, LLC, 30 N Gould St, STE R, Sheridan, Wyoming 82801, United States ("PDFFormly", "we", "us"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. What PDFFormly is, and is not

PDFFormly is an online tool for filling in, signing, sending and downloading PDF forms and documents. Templates are prepared from forms published by government agencies and other issuers.

  • We are not a government agency and are not affiliated with, endorsed by or acting for the Internal Revenue Service (IRS) or any other government body. Blank official forms are available free of charge from the issuing agency; our fees are for the software, storage and services we provide.
  • We do not file or submit forms to any agency or third party on your behalf, except when you choose to send a document to a person through the Service.
  • We do not give legal, tax or financial advice. Form guides and the AI assistant provide general information only. You are responsible for the accuracy of your answers, for choosing the right form and version, and for submitting it correctly and on time. Consult a qualified professional if you need advice.

2. Accounts

You must be at least 18 and able to form a binding contract to create an account or make a purchase. Give accurate information, keep your password secure, and tell us promptly at [email protected] if you believe your account has been used without permission. You are responsible for activity under your account. Some features require a verified email address.

3. Free and paid features

With a free account you can fill in and preview forms, send documents for signature within the monthly limit shown on our Pricing page, request that others fill in forms, and use share links for signing or filling. Downloading, printing or emailing a completed PDF requires either a one-time purchase for that document, an active subscription, or a free download credit where we offer one (for example to new members who verify their email address; one offer per email address, no cash value). Current prices, limits and plan features are shown on the Pricing page and at checkout. Prices are in US dollars and may exclude applicable taxes.

4. Subscriptions, renewal and cancellation

  • Subscriptions are billed in advance, monthly or yearly as you choose, and renew automatically at the end of each billing period at the then-current price until you cancel.
  • You can cancel at any time in your account under Plan and billing. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • If we change the price of your plan, we will tell you in advance and the new price applies from your next renewal. You can cancel before it takes effect.
  • A single-document purchase is a one-time payment for that document and does not renew.
  • Payments are processed by Stripe. By purchasing you authorize us and Stripe to charge your payment method for the amounts shown.

5. Refunds

Refunds are handled under our Refund Policy.

6. Electronic signatures

The Service lets you sign documents and send them to others to sign electronically. By signing electronically you agree that your electronic signature has the same effect as a handwritten signature, to the extent permitted by law, including the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). We keep an audit trail of signing events. We are not a party to any document signed through the Service. Whether a document may be signed electronically, and whether a recipient accepts an electronic signature, depends on the law and on that recipient; it is your responsibility to check.

7. Your content

You keep ownership of the information, documents and signatures you add to the Service ("Your Content"). You grant us a limited license to host, store, process, transmit and display Your Content only to provide and improve the Service, as described in our Privacy Policy. You confirm that you have the right to use Your Content and any personal information of others you enter (for example a taxpayer identification number or signature), and that you have their permission where required.

8. Acceptable use

You agree not to:

  • use the Service for anything illegal, fraudulent or deceptive, including forging signatures, impersonating others or creating false documents;
  • send unsolicited or abusive messages through signature requests, form requests or share links;
  • upload malware or content you have no right to use;
  • access the Service by automated means, scrape it, or interfere with its operation or security;
  • get around payment, usage limits or access controls, or resell the Service without our written permission;
  • copy, modify or reverse engineer the Service, except as the law allows.

9. AI assistant

The assistant generates suggestions automatically and may be inaccurate or incomplete. Review every suggestion before relying on it. Assistant use may be limited by monthly credits.

10. Third-party services

The Service relies on third parties such as Stripe, Google and OpenAI. Their services are governed by their own terms, and we are not responsible for them.

11. Our intellectual property

The Service, including its software, design, guides and the PDFFormly name and logo, belongs to Codenova, LLC or its licensors. Official forms remain subject to the rights of their issuers. These Terms do not give you any right to our trademarks.

12. Suspension and termination

You can stop using the Service and delete your account at any time. We may suspend or end your access if you breach these Terms, if required by law, or to protect the Service or other users. Sections that by their nature should survive termination (including 7, 11, 13, 14, 15 and 16) survive.

13. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that templates reflect the latest version of every form at all times, or that any document will be accepted by a recipient or agency.

14. Limitation of liability

To the fullest extent permitted by law, Codenova, LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data, penalties or fees (including tax penalties), arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or US$100.

15. Indemnity

You will defend and indemnify Codenova, LLC against claims, losses and costs (including reasonable legal fees) arising from Your Content, your breach of these Terms or your misuse of the Service.

16. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Wyoming, and you and we consent to their jurisdiction. Before filing a claim, please contact us at [email protected] so we can try to resolve it informally. Nothing in this section limits rights you have under the mandatory consumer laws of where you live.

17. Changes to these Terms

We may update these Terms. We will post the new version on this page with a new effective date and, for material changes, notify account holders by email or in the Service before they take effect. Continued use after that date means you accept the updated Terms.
